Terms of Service

These Terms of Service (the "Terms"), form the agreement between you ("you", "your", "Merchant") and StoreSpark ("we", "us", "our"). These Terms govern your access to and use of any apps developed by StoreSpark, available on the Shopify App Store and other platforms.

By installing or using any StoreSpark app, you confirm that you have read, understood, and agree to be bound by these Terms of Service. You also agree to abide by these Terms and comply with all applicable laws and regulations. If you do not agree with these Terms, you are prohibited from installing or using our apps or accessing any related services provided by StoreSpark.

We may update these Terms from time to time. Your continued use of our apps after any changes have been made will signify your acceptance of the updated Terms.

1. LIMITATIONS OF USE

By using any StoreSpark app, you represent and warrant that you are a business entity and have the authority to bind that business to these Terms. If you do not agree to these Terms, you must not install or use our apps or their associated services.

2. INTELLECTUAL PROPERTY

All intellectual property rights in StoreSpark apps and their associated materials are owned by or licensed to us and are protected by applicable copyright, trademark, and other intellectual property laws.

We grant users a limited, non-exclusive, non-transferable license to use our apps for their business purposes on the Shopify platform and other supported platforms. This license allows use of our apps but does not permit resale, redistribution, or modification of our apps or any of their components, including but not limited to our code, features, rules engine, or configuration libraries.

These terms grant a license rather than transferring ownership. The license terminates automatically if you breach these Terms or usage restrictions and may be revoked at our discretion.

3. LIABILITY

StoreSpark apps and all related materials are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we make no warranties, express or implied, and disclaim all other warranties, including but not limited to implied warranties or conditions of merchantability, fitness for a particular purpose, non-infringement of intellectual property, or any other violation of rights.

In no event shall StoreSpark, its developers, affiliates, or service providers be liable for any consequential, indirect, incidental, special, or exemplary damages arising out of or in connection with the use or inability to use our apps, even if advised of the possibility of such damages.

For this agreement, "consequential loss" includes but is not limited to: indirect loss, anticipated loss of profits, loss of data, revenue, business, goodwill, opportunities, savings, reputation, or use, whether arising under statute, contract, tort (including negligence), equity, indemnity, or otherwise.

4. SUBSCRIPTIONS

Access to certain features of StoreSpark apps may require a paid subscription, which is managed through the Shopify App Store or other supported platforms. By installing our apps and selecting a subscription plan, you agree to the applicable charges and terms associated with that plan. The available subscription options and pricing details are provided on the app listing pages.

All subscription fees are billed through the platform's secure billing system (such as Shopify) and will appear on your platform invoice. You can manage your subscription, including upgrades or cancellations, directly through your platform admin.

Subscription fees are subject to change. Any updates to pricing will apply to future billing periods as managed through the platform. Your current plan will remain in effect until the end of its billing cycle unless changed or canceled via your platform admin.

You may uninstall our apps at any time to cancel your subscription. Once uninstalled, charges will stop at the end of the current billing period. Access to paid features will remain active until the subscription term ends.

5. LIMITATIONS

All subscription plans for StoreSpark apps include access to specific features and functionality depending on the selected plan. If your store's requirements exceed the limits of your current plan, such as needing more advanced features or higher usage capacity, we may contact you to offer an upgrade to a custom enterprise plan that better matches your business needs. Your access to our apps will remain uninterrupted during this process.

Many of our paid plans include free trial periods, typically available once per store. Trials are linked to your store's platform domain and account details. If a second trial is initiated on the same store, the selected paid subscription will automatically begin at the end of the trial period.

All billing is handled securely through the platform's billing system, and charges will appear on your platform invoice. All charges are billed in USD, and recurring fees are typically billed every 30 days. You can upgrade, downgrade, or cancel your plan at any time through your platform admin. Any changes to your subscription will affect billing according to the platform's billing policies.

6. RIGHT TO TERMINATE

We reserve the right to suspend or terminate your access to StoreSpark apps at any time if you are found to violate these Terms of Service. Termination may occur without prior notice in cases of serious or repeated breaches. In the event of termination, your access to our apps and any associated features will be revoked immediately through your platform store.

7. SEVERANCE

If any provision of these Terms of Service is found to be invalid, unlawful, or unenforceable for any reason, that provision will be deemed severed from these Terms to the extent it is invalid or unenforceable. The remaining provisions will continue to be valid and enforceable in full force and effect.
